{"id":1019,"date":"2007-07-27T20:42:36","date_gmt":"2007-07-28T00:42:36","guid":{"rendered":"http:\/\/www.prefblog.com\/?p=1019"},"modified":"2007-07-27T20:42:36","modified_gmt":"2007-07-28T00:42:36","slug":"july-27-2007","status":"publish","type":"post","link":"https:\/\/prefblog.com\/?p=1019","title":{"rendered":"July 27, 2007"},"content":{"rendered":"<p>The week ended with another <a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601087&#038;sid=aIsOrgfjpcWQ&#038;refer=home\">thumping for US Equities<\/a> and <a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601084&#038;sid=a8XuEX.KYNcI&#038;refer=stocks\">Canadian stocks went along for the ride<\/a>, notably<\/p>\n<blockquote>\n<p>BCE Inc., target of the largest buyout, retreated after Citi Investment Research cut its recommendation, citing growing risks to its financing.<\/p>\n<\/blockquote>\n<p>One analyst <a href=\"http:\/\/ca.news.finance.yahoo.com\/s\/27072007\/2\/biz-finance-telus-bid-bce-increasingly-unlikely-says-analyst.html\">puts the odds of a Telus bid at 25% or less<\/a>, but the long term track record of this analyst was not disclosed.<\/p>\n<p><a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601087&#038;sid=aeKT5Afm6k0o&#038;refer=home\">Some say<\/a> that a turning point in capital markets has definitely been reached but there is <a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601068&#038;sid=aMYNaLhXho68&#038;refer=economy\">some doubt<\/a> that Wall Street&#8217;s problems will reach Main Street. The US economy has, apparently, <a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601087&#038;sid=a7PeNNr19Xxc&#038;refer=home\">been growing at a fair clip<\/a> but the <a href=\"http:\/\/www.econbrowser.com\/archives\/2007\/07\/recession_proba_2.html\">nattering nabobs of negativism<\/a> have their own interpretation of the underlying trends. All the uncertainty meant that <a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601009&#038;sid=a1CXHwyh8awE&#038;refer=bond\">Treasuries did superbly<\/a>, while <a href=\"http:\/\/ca.news.finance.yahoo.com\/s\/27072007\/6\/finance-canadian-dollar-shaken-further-30-year-high.html\">Canadas followed &#8230; mostly<\/a>. Even New York City, <a href=\"http:\/\/en.wikipedia.org\/wiki\/Image:Ford_to_City.PNG\">almost bankrupt in 1975<\/a>, was able to <a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601009&#038;sid=a0vME_.ynwes&#038;refer=bond\">get in on the action<\/a> and scoop up some financing that\u00a0<a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601010&#038;sid=awXnHna932f4&#038;refer=news\">ain&#8217;t going into corporates no more<\/a>.\u00a0\u00a0<\/p>\n<p>And &#8230; I must apologize &#8230; the tables and commentary that have something of direct relevance to actual preferred shares will have to wait. HIMIPref\u2122 has been updated, but I have dinner scheduled with a dear friend, whom I intend to regale with stories about how I don&#8217;t own any junk bonds.<\/p>\n<p>I will update everything tomorrow!<\/p>\n<p><strong>Update, 2007-07-29<\/strong>: OK, maybe it wasn&#8217;t the very next day. But it was a most enjoyable dinner! In the meantime, the National Post <a href=\"http:\/\/www.canada.com\/nationalpost\/financialpost\/printedition\/story.html?id=f0c12018-1dc5-4304-b149-bef961ad5e21\">has reported<\/a> that:<\/p>\n<blockquote>\n<p>&#8220;We have our financing,&#8221; Claude Lamoureax, president and CEO of Teachers&#8217; said yesterday. &#8220;Clearly right now, the spreads have widened but that&#8217;s why you pay the bank huge fees to take the risks.&#8221;<br \/>\n<strong>&#8230;<\/strong><br \/>\nAs Mr. Lamoureax said, in leveraged buyouts the banks &#8220;take the risks&#8221; and right now the investment banks are temporarily swallowing the billions of dollars worth of debt deals for Chrysler and Alliance.<\/p>\n<p>As for whether Teachers&#8217; bankers should be worried, Mr. Lamoureux said there are no worries with its bankers or anyone else.<\/p>\n<p>&#8220;Right now, we have our financing in place. No trouble,&#8221; he said.<\/p>\n<\/blockquote>\n<p>Either he refused to say just exactly how the financing was in place, or the reporter didn&#8217;t ask. The story doesn&#8217;t go any further than the above bland assurance.<\/p>\n<p>I&#8217;ve thought the issue in the context of what a massive break-fee-loss would mean to Teachers, and come to the conclusion that I don&#8217;t know enough about the issue. It would seem to me reasonable that there might be provisions regarding financing in the consortium agreement, to the effect that, if the deal fails on financing, the loss would be\u00a0borne by <a href=\"http:\/\/www.bce.ca\/en\/news\/releases\/corp\/2007\/06\/30\/74323.html\">Teachers financial partners<\/a>, Providence Equity Partners Inc. and Madison Dearborn Partners, LLC. After all, they&#8217;re the financial muscle for the deal! It may be that such a provision is why Mr. Lamoureux is so sanguine &#8230; but we will just have to sit back and wait and see!
