{"id":14965,"date":"2011-05-05T22:02:56","date_gmt":"2011-05-06T02:02:56","guid":{"rendered":"http:\/\/www.prefblog.com\/?p=14965"},"modified":"2011-05-05T22:02:56","modified_gmt":"2011-05-06T02:02:56","slug":"rf-pr-a-special-resolution-passes","status":"publish","type":"post","link":"https:\/\/prefblog.com\/?p=14965","title":{"rendered":"RF.PR.A: Special Resolution Passes"},"content":{"rendered":"<p>CA Bancorp Canadian Realty Finance Corporation <a href=\"http:\/\/www.marketwire.com\/press-release\/ca-bancorp-canadian-realty-finance-corporation-shareholders-vote-favour-proposed-transaction-tsx-rf.pr.a-1510931.htm\">has announced<\/a>:<\/p>\n<blockquote><p> that the Class A and Series 1 Preferred Shareholders of the Corporation, each voting separately as a class, voted today to approve a special resolution to effect the following proposed transaction (the &#8220;Transaction&#8221;):<\/p>\n<ul>\n<li>\u2022the acquisition of all of the issued and outstanding shares of C.A. Bancorp Ltd., the manager of the Corporation, (the &#8220;Manager&#8221;) by Green Tree Capital Management Corp. (&#8220;Green Tree&#8221;);\n<li>\u2022an amendment to the commitment agreement (the &#8220;Commitment Agreement&#8221;) dated January 31, 2008 between the Corporation and C.A.
